MEETINGS OF MEMBERS

Section 6.01
Annual Meetings

Annual meetings of members, to review of the Center’s performance in the preceding year, to inform members of the results of the election to the board of directors and the nominating committee and introduce their new members, to announce the results of voting on the budget and on bylaws amendments, if any, and for the transaction of other business shall be held on the second Sunday of February of each year. The time and place shall be fixed by the Board.

Section 6.02
Special Meetings
Special meetings of members may be called at any time by the Chairperson of the Board or by the Board. Special meetings shall also be called on the written petition of thirty (30) voting members filed with the Secretary of the corporation, at least 30 days prior to the date of the meeting.

Section 6.03
Notice of Meetings
Notice of each meeting of members giving the place and time of the meeting and the specific business to be considered, shall be communicated by mail, fax, e-mail, or other reliable means of communication to each active member by the Secretary at least ten (10) days prior to the meeting. This section applies only to the notice of meetings of members; it does not alter the 30 day mailing requirement of section 11.02.

Section 6.04
Voting
Voting at meetings of members shall be by secret ballot, with eligibility of votes established by reference to the voting membership list. A majority vote of those members present and voting at a meeting at which a quorum, as hereinafter defined, is present, shall be required for official action, unless otherwise specified in these Bylaws or by law. Proxies are allowed in accordance with procedures developed by the Membership Committee and approved by the Board; however, no voting member shall be allowed to hold more than three (3) proxies. Cumulative voting is not allowed.

Section 6.05
Quorum
A quorum for meetings of members shall consist of twenty-five percent (25%) of the voting membership list.

Section 6.06
Conduct of Meetings

1. Meetings of the members shall be presided over by the Chairperson of the Board, or in the absence of the Chairperson, by the Vice-Chairperson.

2. The order of business for annual meetings shall be as follows:

-Call to Order and Recitation of al-Fatiha

-Reading of the minutes of the previous meeting

-Old Business

-Report of the Chairperson

-New Business

-Announcement of election results of Directors and new Nominating Committee and introduction of the new members, and results of voting on the proposed budget, bylaw amendments and other proposed resolutions, if any

-Adjournment

3. The order of business for special meetings shall be according to the specific agenda approved by the Board, and in accordance with the Robert’s Rules of Order.
